TugsLoves Creator Content Agreement

This Creator Content Agreement (“Agreement”) is entered into between TugsLoves Corporation (“Company”) and the undersigned creator (“Creator”).

This Agreement governs direct content creation services only and applies based on the collaboration type selected below. Only the terms applicable to the selected collaboration type are binding.

Scope of Agreement (Direct Content Only)

This Agreement applies solely to direct creator content deliverables provided to TugsLoves.

Affiliate participation, referral tracking, commissions, bonuses, and affiliate earnings are governed by separate affiliate program terms and are not guaranteed by participation in this Agreement.

Compliance with this Agreement is a condition of continued eligibility for affiliate participation.

1. Content Deliverables (Minimum Requirements & Precedence)

The deliverables outlined below represent minimum requirements.

If alternative or additional deliverables are agreed upon in writing (including email, platform chat, DM, text message, or other written communication), those written deliverables shall take precedence over this Agreement and will be upheld in lieu of the minimums stated here.

Gifted Collaboration — Minimum Requirements

One (1) short-form edited video clearly showing the product in actual use
One (1) written product review, submitted via the platform or link provided by TugsLoves
Accompanying raw, unedited footage is required for the video submission
Still images are appreciated but not required unless otherwise specifically agreed upon

Additional creative, technical, and content standards will be provided in a separate content guideline document.

Failure to comply with any standards outlined in the additional content guidelines constitutes non-compliance under this Agreement.

Paid Collaboration — Minimum Requirements

No fewer than two (2) edited short-form videos
Accompanying raw, unedited footage is required for all edited videos
Content must clearly show the product being used in real time
Still images are optional and do not replace video requirements

Non-Acceptance

Content where the product is not clearly shown being used is not accepted
Missing required edited videos (paid), raw footage, or written reviews (gifted) constitutes non-delivery

2. Editing Rules

Editing is required for paid collaborations and specified gifted collaborations
All edited submissions must include corresponding raw footage
Edited videos must be free of any watermarks
Submissions containing watermarks or missing raw footage are non-compliant

3. Submission Timeline

Content is due within two (2) weeks of product delivery or campaign start date
Extensions must be requested in advance
Content not received within three (3) weeks without communication may be deemed unfulfilled

4. Video Quality & Environment Guidelines

Clear visuals and clear spoken audio
No smudged or obstructed lenses
No visible logos, branding, or text on clothing, backgrounds, or props
Minimal background noise and distractions
Clean, neutral environments preferred

5. Child Safety & Permissions

Children age 2 and under may not appear
If featuring anyone under 18, Creator must be the parent/legal guardian or have explicit permission
Creator confirms all rights, permissions, and releases are secured

6. Revisions

Gifted Collaboration: One (1) revision included
Paid Collaboration: Two (2) revisions included
Revisions must remain within the originally agreed creative scope
Failure to complete required revisions may result in enforcement actions

7. Payment & Product Terms

Gifted Collaboration

Product is provided in lieu of monetary payment
Receipt of product constitutes acceptance of this Agreement
Failure to deliver compliant content may result in enforcement

Paid Collaboration

Payment is issued upon approval, not upon submission
Approved payments are processed on a monthly payment cycle
No expedited or partial payments without written approval

8. Usage Rights & Content License

Creator grants TugsLoves Corporation a royalty-free, worldwide, perpetual, irrevocable license to use all submitted content.

9. Creator Name, Image & Likeness

Creator grants the right to use their name, image, likeness, voice, and social handle in connection with submitted content.

10. Cancellation, Kill Fee & Non-Performance (Paid Only)

No payment owed if canceled before work begins
Partial kill fee or partial delivery may apply if canceled after work begins
Creator non-performance results in no payment owed

11. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control.

12. Enforcement, Affiliate Eligibility & Termination

Removal from collaborations or affiliate participation
Forfeiture of affiliate earnings
Disqualification from future programs

13. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions.
